We regularly represent banks and institutional lenders in structuring and documenting dozens of significant loan transactions annually, aggregating hundreds of millions of dollars. These transactions include secured and unsecured bilateral and multi-bank syndicated loan facilities (as agent or as participant), asset-based loans, cash flow transactions, working capital facilities, leveraged buy-outs, ESOP loans, retail financing, and vendor financing, multi-currency availability, Euro-based pricing, letters of credit and other credit enhancement devices, acceptance financing and competitive bid facilities.
In addition to structuring new extensions of credit, we also advise our clients on extensions and modifications as well as relationships with other equity and debt participants in borrowers' complicated capital structures, including intercreditor arrangements and subordination agreements.
Included in our experience is the representation of lenders in international transactions, including taking foreign collateral or guarantees and advice with respect to interest rate and currency swap agreements and other financial hedging instruments.
We have served as special counsel to lending syndicates in connection with the provision of non-consolidation opinions issued in connection with healthcare facilities, nursing homes and real property transactions. Members of the Firm's Bankruptcy/Creditors Rights Group, Commercial Finance Group and Litigation Group work together to determine the proper corporate structure so that the required opinion can be provided.
