Automotive Corporate and Compliance

Overview

Dykema professionals assist automotive clients in a broad range of corporate and commercial legal matters. We have advised automotive companies on antitrust issues, acquisitions and divestitures, bankruptcy issues, dealer terminations, joint venture formation, commercial contract negotiation and drafting, workouts, taxation, and audit and compliance programs. We have extensive experience in negotiating long-term supply agreements, representing entities throughout the supply chain in risk management planning and response, negotiating e-commerce and information technology agreements, and providing general and specialty legal advice for all other corporate and commercial matters faced by suppliers and OEMs. In the consumer finance area, we provide regulatory and compliance advice concerning offers and sales of loans, insurance, and related products, and we represent some of the nation's largest automotive financial services clients in proceedings against dealers and guarantors and in defense of individual and class action suits alleging improper credit practices.

Our automotive clients know we have a genuine interest in the industry and their business. They rely on us for our ability to gauge automotive trends, and assess risk as they consider expanding, retooling, or simply refueling their core business operations. When it comes to making a move, they take confidence in Dykema's ability to quickly put the right attorneys in place to handle every aspect of every matter.

Complex corporate financial transactions, such as Ford's spin off, and buy back of significant operations of Visteon Corporation and the subsequent divestiture of these operations are a Dykema mainstay. During each phase of the Ford deal, a multidisciplinary team of Dykema automotive attorneys covered the wide spectrum of legal issues that were part of each transaction.

The Firm's recent role in negotiating the acquisition of a controlling interest in a European joint venture involved in powertrain manufacture initially began as an intellectual property rights matter. Dykema's representation subsequently expanded to include negotiating engineering services and supply agreements before culminating in the final negotiations of underlying acquisition documents.
