Michael Bernard, Detroit-based Member in Dykema’s Corporate Finance Practice Group, was quoted in the Mergermarket article, “Strategic buyers increasingly dangle earnouts to win deals.”

In the article, Bernard said that at least one-third to half of earnout deals end up in dispute over the operations of the business post-closing, but most parties try to resolve the problem internally, rather than through litigation.
