In complex healthcare transactions and regulatory matters, the path from point A to point B is rarely a straight line. A creative dealmaker with extensive in-house experience, Valerie Rup is the lawyer healthcare organizations rely on to negotiate complicated acquisitions, divestitures, affiliations, joint ventures, and commercial agreements. She also brings this same mindset to complex regulatory and compliance matters. While her clients are often concerned about resources and the bottom line, Valerie also helps them honor their ultimate commitment to delivering quality patient care.

Regardless of the size or scope of the transaction or regulatory compliance issue, Valerie prioritizes the clients' strategic objectives and goals; she feels most valuable when she joins the team on the front end to streamline processes and avoid unnecessary frustrations. Always aware that healthcare is an ever-changing industry constantly subjected to new mandates and regulatory oversight, Valerie is mindful of the limited resources and staffing healthcare organizations regularly encounter.

Valerie routinely counsels directors, officers, executives, and senior management on nonprofit law and corporate governance and is well-versed in the regulatory, reimbursement, real estate, and other business and operational issues that emerge in the many transactions she negotiates. Above all, clients value her broad, pragmatic perspective and her ability to collaborate to achieve creative solutions.

From her many years as in-house counsel, Valerie understands the challenge associated with instituting multiple unfunded mandates and the need to pivot as needs or circumstances change. For example, the COVID pandemic necessitated innovative programs and responses to patient care challenges, often requiring government officials' permission and consensus to implement. As outside counsel, she remains focused on using her legal talents to help support healthcare organizations improve patients' lives.

While in-house, I rotated regularly on-call 24/7 for a week at a time to help support patient care and provider needs. I now offer that same level of attention and client service at Dykema.
