Bowden V. Brown's practice focuses on tax-exempt bond financings (governmental and private activity) and general corporate matters. He has served as nationally recognized bond counsel on tax-exempt financings under a wide range of Michigan  bond enabling statutes. He has also served as counsel to numerous underwriters, private borrowers, letter-of-credit banks and trustees on tax-exempt bond transactions. He has been listed as a nationally recognized bond attorney in the Directory of Municipal Bond Dealers of the United States (the "Red Book") for more than 35 years. He has served as a member of the Dykema Pro Bono Committee since 2006.


  • Bond counsel on competitively sold and negotiated bond issues of counties, cities, townships, villages, building authorities, tax increment authorities and road commissions for diverse public purpose projects.
  • Bond counsel, underwriter's counsel and borrower's counsel on qualified 501(c)(3), industrial development, qualified residential rental and other eligible private activity projects financed through the Michigan Strategic Fund, Michigan Finance Authority, Michigan local economic development corporations, state and local hospital authorities, and conduit issuers in various other states (including Ohio, Indiana, Wisconsin, Illinois, Pennsylvania, North Carolina, Georgia, Florida, Tennessee, Mississippi and New Mexico).
  • Extensive work on tax increment financings of Tax Increment Finance Authorities, Downtown Development Authorities, Local Development Finance Authorities and Brownfield Redevelopment Authorities.
  • Bond counsel on senior living community tax-exempt bond financings.
  • Bond counsel and underwriter’s counsel on pension obligation and OPEB bond issues.
  • Experience with wide variety of innovative financing structures, complex structured project financings, refundings and advance refundings.
  • Note counsel, underwriter's counsel and letter of credit bank counsel on taxable variable rate demand obligations issued by wide variety of for-profit entities, including commercial real estate developers and manufacturing companies, and development of master trust indenture program for taxable VRDO programs.
  • Representation in controversies, audits and litigation arising out of tax-exempt bond transactions, and service as expert witness.

Recent Notable Engagements

  • Bond counsel on the Little Caesars Arena multi-purpose events center project (home venue of the Detroit Red Wings and Pistons) for the City of Detroit Downtown Development Authority’s issuance of tax increment revenue (TIF) bonds and concession revenue bonds in 2014, additional TIF bond financing for construction stage NBA basketball improvements in 2017, and $310 million publicly offered long-term fixed rate TIF refunding bonds in December 2018. 

  • Special bond counsel in 2018 to City of Royal Oak Downtown Development Authority to document TIF financing commitments for Royal Oak Civic Center/City Hall/Police HQ capital improvement bond project and downtown parking deck revenue bond project.

  • Bond counsel to the Michigan Strategic Fund on multiple series of tax-exempt governmental lease revenue bonds for office buildings leased to the State of Michigan in Detroit, Bay City and Taylor, MI.

  • Bond counsel to City of Ann Arbor for tax-advantaged financings of major municipal buildings, public parking decks, water and sewer infrastructure, clean energy, and open space preservation from 2000 to 2019.

  • Bond counsel on several series of tax increment revenue bonds for expansive mixed-use downtown development project in Commerce Township, MI from 2003 through 2019.     

  • Bond counsel to Northern Health Foundation on the issuance of over 90 series of tax-exempt bonds for more than 40 local public health and community mental health clinic projects throughout the State of Michigan from 1991 to 2019.
