Bowden V. Brown's practice focuses on tax-exempt bond financings (governmental and private activity) and general corporate matters. He has served as nationally recognized bond counsel on tax-exempt financings under a wide range of Michigan  bond enabling statutes. He has also served as counsel to numerous underwriters, private borrowers, letter-of-credit banks and trustees on tax-exempt bond transactions. He has been listed as a nationally recognized bond attorney in the Directory of Municipal Bond Dealers of the United States (the "Red Book") for more than 30 years. He has served as a member of the Dykema Pro Bono Committee since 2006.

Experience

  • Bond counsel on competitively sold and negotiated bond issues of counties, cities, townships, villages, building authorities, tax increment authorities and road commissions for diverse public purpose projects.
  • Bond counsel, underwriter's counsel and borrower's counsel on qualified 501(c)(3), industrial development, qualified residential rental and other eligible private activity projects financed through the Michigan Strategic Fund, Michigan Finance Authority, Michigan local economic development corporations, state and local hospital authorities, and conduit issuers in various other states (including Ohio, Indiana, Wisconsin, Illinois, Pennsylvania, North Carolina, Georgia, Florida, Tennessee, Mississippi and New Mexico).
  • Extensive work on tax increment financings of Tax Increment Finance Authorities, Downtown Development Authorities, Local Development Finance Authorities and Brownfield Redevelopment Authorities.
  • Developed financing program for more than 40 local public health and community mental health clinic projects throughout the State of Michigan using "on behalf of" issuers.
  • Experience with wide variety of innovative financing structures, complex structured project financings, refundings and advance refundings.
  • Note counsel, underwriter's counsel and letter of credit bank counsel on taxable variable rate demand obligations issued by wide variety of for-profit entities, including commercial real estate developers and manufacturing companies, and development of master trust indenture program for taxable VRDO programs.
  • Representation in controversies, audits and litigation arising out of tax-exempt bond transactions, and service as expert witness.
