Brian Balow is a Senior Counsel in Dykema's Corporate Finance Practice Group, residing in the Bloomfield Hills, Michigan, office.


  • Represented several provider and healthcare system clients in developing and implementing privacy and data security policies and procedures.
  • Represented several provider and healthcare system clients in responding to unauthorized disclosures of protected health information.
  • Represented health information exchange in development of organizational structure and drafting of participant document package.
  • During five year tenure as chief legal officer of a worldwide leader in factory automation, developed and implemented policies and procedures to minimize legal risks/reduce the use of outside legal resources, interfaced directly with Japanese parent company, supported subsidiaries in Canada and Mexico and established Brazilian subsidiary, negotiated and helped administer long term supply agreements with automotive OEMs, negotiated and helped administer multimillion-dollar federal procurement contracts (including a sole source project), had a lead role in establishing vertical distribution network, handled inquiries from the U.S. Customs Service, and developed several intercompany technology-related agreements in compliance with transfer pricing laws and regulations.
  • Outside general counsel to two multinational for-profit corporations and one Michigan-based nonprofit corporation, providing regular advice and counsel on the entire range of legal and regulatory matters impacting the companies. These representations include the assignment of particular matters to attorneys with subject matter expertise, and oversight of same.
  • Lead role in the development of Intellectual Property Asset Management policies and procedures, and the plan for implementation of same, for multibillion-dollar Malaysian-based multinational oil and gas company. Project required substantial due diligence at client sites throughout Southeast Asia, including in-depth interviews of key personnel on process-related matters.
  • Represented Fortune 100 manufacturing company in negotiation and documentation of IT and technology development and licensing transactions (including global enterprise solution and outsourcing deals), aggregating more than 1 billion dollars, with vendors including IBM, Hewlett Packard, GE, Ford, Oracle, SAP, PeopleSoft, Microsoft, and EDS.
  • Represented several companies in resolving claims of unauthorized use or copying of software, including claims brought by the Business Software Alliance, Oracle, and SAS Institute.
  • Represented clients in licensing transactions (domestic and international) covering the production and sale of numerous products, including trading cards, footwear, clothing, ice cream, and automotive components, among others.
  • Represented international rental car company in negotiation and documentation of large IT outsourcing and call center contracts.
  • Represented international food company in negotiation and documentation of worldwide agreements for the acquisition of telecommunications equipment and services (voice and data) with a contract value in the hundreds of millions of dollars.
  • Represented buyers and sellers in numerous sale of business transactions (asset and equity), primarily in the $20 million to $100 million range.
