Bryan Johnson focuses his practice in the areas of complex commercial, professional liability, construction, and employment litigation matters. He has significant experience in state and federal courts across the country, including trial and appellate work, as well as binding arbitration.

Bryan helps his business clients resolve disputes. His litigation experience includes successful resolution of matters involving breach of contract and breach of fiduciary duty claims, restrictive covenants, partnership disputes, business torts, defamation, fraud, and a variety of real estate disputes and construction-related litigation, ranging from worksite injury to property defect matters and delay claims to mechanics lien issues. He has represented commercial tenants and landlords in commercial lease disputes, and has extensive experience representing internet technology companies in contract disputes with internet marketing affiliates.

In addition to his litigation work, Bryan also counsels corporate clients regarding a broad range of transactional matters, including business formation, contract negotiation, strategic organizational and operational considerations, and provides risk assessment and risk minimization advice. He has extensive experience counseling landlord and tenant real estate clients on commercial lease agreements. Bryan has counseled corporate clients in a variety of industries, including sports marketing, healthcare consulting, bars and restaurants, product manufacturers, construction contractors and design professionals, retailers, salons, and recreation centers.

Bryan is an active member of the Chicago Bar Association, having previously served as Chair of the Chicago Bar Association’s Commercial Litigation Committee. In addition, Bryan maintains a robust pro bono practice. He has litigated landlord-tenant disputes, represented elderly and disabled tenants seeking reasonable accommodations under the Fair Housing Act, and has represented an individual in the purchase of a restaurant, among other matters.

  • Obtained dismissal of putative class action lawsuit filed against well-known insurance carrier which alleged failure to pay interest on settlement of claims. Successfully argued that Illinois Interest Act did not apply to settlement agreements. The dismissal was affirmed by the First District Appellate Court of Illinois in matter of first impression.

  • Obtained summary judgment on behalf of architect in multi-million dollar suit alleging breach of contract and violations of express and implied warranties related to significant construction defects and maintenance defects in 35-floor condominium building.
  • Aggressively defended healthcare consulting firm against hospital’s $10 million breach of contract and breach of fiduciary counterclaims, resulting in extremely favorable settlement.
  • Advocated for insurance broker plaintiff in federal lawsuit alleging breach of fiduciary duty, professional negligence and fraud against sub-brokers arising out of failure to procure insurance coverage. Aggressively negotiated seven-figure settlement against two sub-brokers and secured seven-figure restitution in favor of client in vigorously contested restitution proceedings.
  • Represented purchasers and sellers in drafting and negotiation of asset purchase agreements and stock purchase agreements.
  • Represented tenant restaurants in drafting and negotiation of commercial leases.
  • Represented bike share startup in negotiation of international distribution and licensing agreement.
