Bryan Johnson helps business clients avoid and resolve disputes. He maintains a diverse practice which ranges from complex commercial, real estate, construction, and employment litigation matters to contract negotiations and other business transactional matters for small and medium-sized businesses in the advertising, marketing, technology, and hospitality industries.

Bryan’s litigation experience in state and federal courts across the country includes successful resolution of matters involving breach of contract and breach of fiduciary duty claims, restrictive covenants, partnership disputes, business torts, defamation, fraud, and a variety of real estate disputes and construction-related litigation, ranging from worksite injury to property defect matters and delay claims to mechanics lien issues. He has represented numerous commercial and industrial landlords and tenants in a variety of industries in commercial lease disputes.

In addition to his litigation work, Bryan often counsels corporate clients regarding a broad range of transactional matters, including business formation, contract negotiation, strategic organizational and operational considerations, and provide risk assessment and risk minimization advice. Bryan has negotiated hundreds of contracts in the out of home advertising space on behalf of industry leaders in healthcare technology and photo entertainment websites. He has negotiated numerous asset purchase agreements and stock purchase agreements, and also has extensive experience counseling landlord and tenant real estate clients on commercial lease agreements and has counseled corporate clients in a variety of industries, including sports marketing, healthcare consulting, hospitality, product manufacturers, construction contractors and design professionals, retailers, salons, and recreation centers.

Bryan is an active member of the Chicago Bar Association, having previously served as Chair of the Chicago Bar Association’s Commercial Litigation Committee. In addition, Bryan maintains a robust pro bono practice. He has litigated landlord-tenant disputes, represented elderly and disabled tenants seeking reasonable accommodations under the Fair Housing Act, and has represented an individual in the purchase of a restaurant, among other matters.

  • Represented leading photo entertainment website against copyright infringement claims.

  • Represented men’s lifestyle and photoblog website in international lawsuit alleging breach of online advertising sales and licensing contract.

  • Represented restauranteur in purchase and sale of 8 businesses since 2013.

  • Represented healthcare technology company in negotiation of hundreds of advertising contracts and buyout agreements with international pharmaceutical manufacturers and their media agencies.

  • Represented healthcare technology company in negotiation of dozens of master services agreements with international pharmaceutical manufacturers with specific emphasis on retention and assignment of intellectual property rights.

  • Obtained dismissal of putative class action lawsuit filed against well-known insurance carrier which alleged failure to pay interest on settlement of claims. Successfully argued that Illinois Interest Act did not apply to settlement agreements. The dismissal was affirmed by the First District Appellate Court of Illinois in matter of first impression.

  • Obtained summary judgment on behalf of architect in multi-million dollar suit alleging breach of contract and violations of express and implied warranties related to significant construction defects and maintenance defects in 35-floor condominium building.

  • Aggressively defended healthcare consulting firm against hospital’s $10 million breach of contract and breach of fiduciary counterclaims, resulting in extremely favorable settlement.

  • Advocated for insurance broker plaintiff in federal lawsuit alleging breach of fiduciary duty, professional negligence and fraud against sub-brokers arising out of failure to procure insurance coverage. Aggressively negotiated seven-figure settlement against two sub-brokers and secured seven-figure restitution in favor of client in vigorously contested restitution proceedings.
