Robert Shrosbree is a member of the Business Services Department in Dykema’s Detroit Office. His practice focuses on SEC matters, securities offerings, corporate finance transactions, and mergers and acquisitions with an emphasis on:

  • General corporate securities representation for publicly-held corporate clients in areas such as corporate governance, securities law compliance, directors' duties, periodic reporting, disclosure, responsibilities of corporate insiders, insider trading rules and Board committees
  • Financing transactions, including equity and debt securities offerings, private placements, recapitalizations,  and debt financings
  • Domestic and International mergers, acquisitions and divestitures representing both buyers and sellers

Mr. Shrosbree has experience in a variety of industries, including automotive, regulated energy, finance and banking.

Prior to joining Dykema, Mr. Shrosbree acted as Executive Director, Lead Counsel Federal Oversight and Acting Corporate Secretary for General Motors Company.

Experience

  • Represented General Motors Company in its $23 billion initial public offering
  • Represented General Motors Corporation in its $26 billion bond exchange transaction prior to General Motors Corporation’s bankruptcy
  • Represented General Motors Company in its Rule144A offering of $4.5 billion of Senior Notes and subsequent exchange offer
  • Represented General Motors Company in the divesture of the equity interests in General Motors Company of the U.S. Government, Canadian Government and the VEBA
  • Advised the General Motors Company Board and executive management regarding shareholder interaction and activist investors including the successful defense of an insurgent shareholder’s proxy contest for director election
  • Acting Secretary of General Motors Company and Secretary and counsel to the Audit and Finance Committees of General Motors Company
  • Represented CMS Energy Corporation in domestic and international mergers, acquisitions and divestitures valued at over $2 billion
  • Liaison with the U.S. Department of Justice appointed Monitor to oversee General Motor Company in connection with the ignition switch crisis
