We canvassed CEOs, CFOs, and other professionals involved in M&A activities with their respective firms to gauge their insights and perspectives on the M&A market in the coming 12 months.

The results provide a snapshot of the M&A market and the economy this year and how they compare from previous years.


We serve a range of national and regional private equity and venture capital firms as well as their portfolio companies. Our clients include committed capital and independent sponsors in both control acquisitions and growth equity investments, institutional financiers, and angel investors. Our practice is focused on the middle market and lower middle market across a wide range of industries, and we find efficient and effective solutions to the challenges that often arise in transactions in that enterprise value range.   

Our team brings to bear the resources of the entire law firm—including mergers and acquisitions, acquisition finance, tax structuring, executive compensation, labor and employment, antitrust, environmental, real estate, data privacy and security, and risk assessment—to negotiate and close deals.

Our strengths and services in this area include:

  • planning and structuring all aspects of a transaction
  • evaluating and preparing documentation and agreements, including term sheets and letters of intent, definitive purchase agreements, equity commitment letters and sponsor guarantees, shareholder and LLC operating agreements, and representation and warranty insurance policies, with a particular sensitivity to sponsors’ needs to win a competitive bidding process
  • negotiating with adverse interests, potential partners, and other counterparties, including target companies, participating funds, institutional lenders, contractors, and employees
  • meeting the numerous compliance and governance challenges of a complex regulatory environment

We also routinely advise portfolio companies owned by larger sponsors on middle-market transactions and “outside general counsel” services in an efficient manner, while working closely and cooperatively with the larger sponsors’ primary legal counsel.
