The shift from “buy-side dry powder story” to “exit backlog story”

While private equity remains a dominant force in the M&A market, its role is evolving. For much of the last decade, the story centered on dry powder and the industry’s ability to deploy capital. But according to this year’s survey data, the more pressing question may be how and when that capital gets returned.

As hold periods extend and portfolio companies age, sponsors are under growing pressure to generate liquidity and deliver distributions to investors. The result is a market increasingly shaped by exit activity, succession-driven transactions, and the need to monetize investments held longer than expected. In many ways, the conversation is shifting from capital deployment to value realization.

Survey respondents echoed this theme through repeated references to longer holding periods, pent-up exit demand, and private equity’s continued role in driving valuations across the middle market.
