Sheryl Toby, Bloomfield Hills-based member of Dykema's Bankruptcy Practice Group, recently served as a panelist at the American Bar Association's Business Law Section's CLE program "What You See May Not Be What You Get When the Deal Goes Bad. Drafting Transaction Agreements to Anticipate Bankruptcy and Insolvency Issues and Knowing When You Cannot Contract Around Them."

The program, which took place at the ABA Spring Meeting in Montreal on April 8, and was co-sponsored by the ABA's Corporate Counsel Business Bankruptcy, Middle Market and Small Business, and Business Bankruptcy committees, discussed basic insolvency law issues, common buyer-seller fact patterns, form of transaction strategies, acquisition entity types, third party contract diligence, and common contractual provisions to tackle insolvency risks. The panel placed particular emphasis on supply contracts and how to protect interests.
