N. Banu Basaran

Senior Counsel


N. Banu Basaran is a senior counsel in our public finance group with a multifaceted practice spanning municipal finance, federal infrastructure and grant-funded projects, and regulatory and transactional counsel for public sector and nonprofit clients. She regularly serves as bond counsel, tax counsel, or underwriter’s counsel, and also advises clients on disclosure, federal funding compliance, public-private development strategies, and energy and infrastructure finance.

With a focus on balancing regulatory requirements and practical execution, Banu advises clients on the structuring and documentation of tax-exempt and taxable financings, including tax compliance, securities disclosure, bond documents, and offering materials.  Banu’s experience includes general obligation, revenue, special assessment, grant anticipation, and conduit issuances, as well as continuing disclosure matters.  Banu has also assisted financings for clean water and drinking water infrastructure projects (including state-administered SRF loans), higher education capital improvement projects and State of Michigan’s annual School Aid Revenue Note programs supporting both traditional school districts and public school academies (SAN and PSA SAN).

Banu supports borrowers participating in the USDA-Rural Development Community Facilities (USDA-RD CF) loan program through the entirety of the approval process, including the pre-application, environmental review, and related state and federal compliance documentation.  Banu has helped clients evaluate interim and construction financing options, engage lenders and financial institutions, and coordinate financing teams in preparation for conduit bond issuance through state-level authorities.

Banu also counsels recipients of federal grant funds, particularly in the climate, energy, and infrastructure sectors.  Banu’s work includes drafting and negotiating grant-related agreements, closing documentation, and program implementation.  She monitors federal program developments, including litigation and regulatory changes, and provides governance and compliance guidance to clients and their boards.

In the local economic development space, Banu works with public authorities on redevelopment and tax increment financing projects.  She assists in structuring public-private initiatives and drafting transactional documents and other development tools to align with municipal law and financing best practices.

Prior to entering private practice, Banu served in the Department of the Attorney General’s Finance and Revenue and Collections Divisions, representing state agencies and finance authorities on bond transactions, investment compliance, tax disputes, and public finance programs.
