Gary Segal has extensive experience with all types of corporate and finance transactions, which includes commercial finance, mergers and acquisitions and corporate law. Mr. Segal is a co-leader of Dykema's Lending Team.

In his commercial finance practice, Mr. Segal represents lenders and borrowers in connection with asset based loans, cash flow loans, acquisition financing, mezzanine and second lien loans, subordinated loans, real estate loans and debtor in possession financing. These financings have included single bank transactions, large syndicated credit facilities, cross border and multicurrency transactions, loan restructurings, bankruptcies, assignments for the benefit of creditors and workouts.

In his corporate practice, Mr. Segal has represented individuals, private equity and corporations with various types of mergers and acquisitions, distressed dispositions, Section 363 sales and foreclosure sales. He was also an early adopter of using Series LLCs.

Mr. Segal blends his legal acumen with his accounting, financial and business background to arrive at practical solutions for his clients. Prior to his law practice, he worked in the tax department of Ernst & Young and is a certified public accountant.

Experience

  • Sale of a middle market business that required negotiating the purchase agreement, employment agreements and real estate leases with the seller's principals.
  • Acquisition of a middle market business that required drafting and negotiating an asset purchase agreement, employment agreements, consulting agreements, seller notes, real estate leases and an amended credit facility from the purchaser's existing lenders.
  • Representation of senior secured lenders in connection with debtor-in-possession bankruptcy financing.
  • Restructuring of a senior loan on behalf of a private equity firm that was a co-investor in a portfolio company.
  • Drafting of a shareholders agreement for a start-up business with five owners, which included restricted transfers, required transfers and employment provisions.
  • Representation of senior secured lenders and the agent in connection with senior bank financing to multiple borrowers in the consumer products industry.
  • Sale of equity securities on behalf of a private equity firm in connection with the sale of a company.
  • Acquisition by a private equity fund that required forming the acquisition entity and negotiating its equity and debt structure with the sponsor, other equity investors, the seller and the bank.
