John Stewart advises clients regarding complex commercial real estate transactions, including the acquisition, sale and financing of hotels, shopping centers, office buildings, apartment complexes, residential developments, industrial properties and undeveloped land.

John represents both lenders and borrowers in real estate financing transactions for the acquisition of real estate, as well as during troubled times when workouts and loan modifications are necessary.

John is board certified in commercial real estate law by the Texas Board of Legal Specialization. 

Experience

John and his team have counseled clients regarding, among other transactions:

$215M Office/Industrial Portfolio

Represented a client from Mexico City in nine different transactions with different sellers closed in less than one year, involving the acquisition of four office buildings (over 850,000 square feet of space), three industrial buildings (over 1,000,000 square feet of space), and an office/warehouse building, all located in the Dallas metropolitan area or in Austin, Texas, for which our duties included the negotiation and closing of the purchase contracts and due diligence review of all leases, title documents and surveys, as well as the subsequent negotiation and closing of a portfolio loan from a national lender for over $100M secured by several of the properties.

 Restaurant Sites

Represents a restaurant company in closing several sites that are acquired or ground leased for the construction and operation of new QSR restaurants in Texas and other states.


$400M: Gas Station Purchases, Sales and Leases

  • John counseled a client in multiple related transactions valued in excess of $400 million, including the purchase of over 60 gas stations in the central and south Texas market, the sale of over 65 gas station sites, the long term lease for the same 65 gas station sites, and the related agreements with the client’s lenders.

Tesoro Oil Refinery and 800 Gas Stations

  • John counseled Tesoro in conducting real estate due diligence on an oil refinery and network of over 800 gas stations, in negotiating and drafting closing documents conveying such assets, and in addressing post-closing issues relating to such acquired assets.

Oil Refinery in California

  • John and his team have represented a major refiner in the acquisition of a large refinery, sulfur plant and terminal in California and the numerous pipelines and other real estate issues related to its operation.

Office Space for International Energy Company

  • John represented a petroleum refiner and marketer in the negotiation of a long-term sublease to an international oil and gas exploration company of multiple floors within the client’s corporate headquarters complex. The negotiations included agreements with the building owner, and the sublease addressed the parties’ shared use of critical infrastructure elements and the sublessee’s multiple expansion rights.

Land Development Transactions: From Greenfields Forward

  • John has represented the purchaser, developer and seller in numerous transactions involving the acquisition of unimproved land, the negotiation and documentation of utility contracts and development restrictions, and the sale of the developed property to other users and developers.
