Nick Monaghan, San Antonio-based Member in Dykema’s Corporate Finance Practice Group, authored an article for Investment News titled, “Potential legal pitfalls for advisers selling their firm.”
In the article, Monaghan discussed possible legal difficulties when selling a wealth management firm. He suggested the seller consider any “important deal elements which have not been addressed,” such as letters of intent, a contingent purchase price, closing conditions, and indemnity risk mitigation. He also advised sellers to be aware of “what danger lurks ahead in the next phase of the negotiation.”
