Denise M. Drake Senior Counsel

Denise M. Drake is Senior Counsel in Dykema's San Antonio office. Ms. Drake focuses her practice on corporate finance matters, advising clients in the purchase or sale of companies and assets, negotiating key commercial agreements, and ensuring corporate compliance with governance structures. Prior to joining Dykema in 2019, Ms. Drake served as in-house counsel for Marathon Petroleum Company (f/k/a Tesoro/Andeavor) for more than six years – most recently, as Associate Managing Counsel. In this role, she managed corporate and real estate matters for the company's midstream, refining and marketing assets. Before her tenure at Marathon, Ms. Drake was an Associate in the real estate group at Cox Smith Matthews (prior to the firm's combination with Dykema in 2015) where she represented developers, lenders, landlords and tenants in complex real estate and finance transactions.


  • Drafting and negotiating asset purchase agreements for the acquisition of individual retail gas station businesses, and coordinating the successful completion of all closing conditions
  • Ensuring compliance with corporate governance documents, including drafting company resolutions, corporate secretary certificates, and company consents
  • Drafting and negotiating land use leases for the midstream, logistics, refining and marketing business of a major oil and gas company, including surface site leases for gas gathering plants marine terminal leases, warehouse storage leases, and ground leases for retail gas stations
  • Drafting and negotiating pipeline easements across privately-owned land in Texas, New Mexico, Utah, and North Dakota
  • Transferring liquor licenses in connection with bulk sale asset transfers
  • Drafting and negotiating supply and related contracts for both wholesale and direct supply petroleum marketing business
  • Counseling clients on compliance with the Petroleum Marketing Practices Act
  • Ensuring compliance with franchise disclosure documents
  • Representing lenders in foreclosures and loan workouts
  • Drafting and negotiating farm and ranch contracts
  • Drafting and negotiating access agreements for environmental remediation
  • Drafting and negotiating corporate office leases
