C-suite executives and company owners on both the buy and sell sides rely on Pat Ryan’s skill and judgment. His door is always open to clients needing guidance with any transaction, but he particularly focuses on mergers, acquisitions, and other business combinations, as well as franchising arrangements from both the franchisor and franchisee sides. They appreciate Pat’s experiential breadth and depth, but it’s his dedication to the deal that cements their confidence.

To provide the exceptional legal counsel his clients expect, Pat immerses himself in their businesses and markets. Because of that, he has amassed operational and industry experience in hospitality, retail, entertainment and gaming, healthcare, pharmaceuticals, auto rental, technology, energy finance, and construction services.

Buy-side clients are often concerned with timing, due diligence, and tax consequences of M&A transactions. Sell-side clients share these same worries, along with maximizing payouts and executing their exit strategies. Pat provides full-service counsel to clients on both sides of the table, working to close deals on tight schedules and deliver results that achieve their individual goals and objectives.

Pat has represented several nationwide franchisors in transactional and regulatory compliance matters. On the front end, he assists the client to assess a business’s franchisability, then prepares and registers necessary disclosure documents and agreements. Pat also helps clients comply with state and federal franchise laws and regulations, which can be even more complex when multistate franchises are involved.

Targets are constantly moving in my practice, especially with tax, employee benefits, and ERISA considerations. It’s a challenge to stay on top of new developments, but the reward is helping a client realize what may be the crowning achievement in their life or career.
