Jasper Mason

Senior Counsel

Jasper Mason is a Houston based oil and gas transactions attorney and senior counsel in Dykema’s Corporate Finance practice. He advises exploration and production companies, private equity-backed businesses, investors, and other energy industry participants on acquisitions, divestitures, joint ventures, mergers and acquisitions, and commercial agreements involving upstream and midstream oil and gas assets.

Drawing on experience in private practice and senior in-house legal and commercial roles, Jasper understands the legal, operational, and business considerations that shape energy transactions. He advises on conventional and unconventional projects involving onshore and offshore assets, including assets located on state, federal, private, and tribal lands. His experience encompasses joint operating agreements, leasehold and wellbore assignments, ancillary commercial contracts, due diligence, regulatory obligations, and agreements governing mineral and surface access.

Jasper has worked on domestic and international energy projects involving producing and prospective properties across major U.S. oil and gas regions. He also has experience addressing royalty and joint-interest billing issues, negotiating rights-of-way and easements, and working with government agencies and industry participants on matters affecting exploration and production operations.

Jasper’s Board Certification in Oil, Gas and Mineral Law by the Texas Board of Legal Specialization and his Certified Professional Landman designation reflect both legal depth and a practical understanding of oil and gas assets. His work teaching Texas Law of Oil and Gas, together with his leadership in prominent bar and energy industry organizations, keeps him closely connected to evolving legal, commercial, and regulatory issues. Clients draw on that perspective when evaluating risk, structuring transactions, negotiating complex agreements, and moving energy projects forward.

Represented public and private energy companies in acquisitions and divestitures involving producing and prospective acreage in the Permian, Powder River, Big Horn, Western Anadarko, and Bakken Basins.
Advised a private company in the sale of a gas processing facility in Alabama.
Represented a public company in acquiring an operated interest covering approximately 350,000 net acres of Alaska state lands.
Negotiated exploration block acquisitions, joint operating agreements, confidentiality agreements, and related contracts supporting exploration and production activities.
Served as lead negotiator for the acquisition of a non-operated interest in Alberta, Canada, involving private and Crown acreage.
Negotiated easement and right-of-way access supporting the development of a 13-well pad in the Bakken formation.

Represented private company in sale of gas processing plant in Escambia County, Alabama.
Acquisition of oil/gas producing leases in northeast Wyoming by a privately held Canadian exploration and production company.
Represented privately held Latin American exploration and production company in acquisition of oil/gas producing leases and prospective acreage in Madison County, Texas, and in subsequent farm-out agreement.
Successful acquisition of oil/gas producing leases and productive acreage in Leon County, Texas for a privately held Latin American exploration and production company.
Represented an independent oil and gas exploration company in an acreage exchange and multi-well farm-out transaction involving Permian Basin assets.
Acquisition of Permian Basin assets for a Fort Worth, Texas-based privately held oil and gas company.
Represented a hydrocarbon exploration company and certain of its affiliates in $3 billion upstream joint venture with a subsidiary of Colombian integrated oil company, covering 97,000 net acres in the Midland Basin.
Represented a provider of crude oil and natural gas exploration and production services in its $2 billion acquisition of Utica Shale oil and gas assets, which includes 900,000 acres of producing and non-producing leasehold, from affiliates of an energy company engaged in hydrocarbon exploration.
Represented a top tier, low-cost oil and natural gas company, on behalf of certain institutional partnerships, in its approximately $2.7 billion business combination with a global investment firm.
Represented an international exploration and production company in its exchange of several deep-water blocks in the Gulf of Mexico.
Represented U.S. subsidiary of Indian conglomerate in multiple-seller divestiture process in Live Oak, Bee, Dewitt and Karnes County, Texas.
