Dykema Advises Braga Fresh in Strategic Combination with organicgirl and Acquisition of Dole’s Fresh Vegetables Division

Dykema is pleased to congratulate its client, Braga Fresh, on the successful closing of a multi-step transaction that combined Braga Fresh with organicgirl, a portfolio company of Arable Capital Partners, and acquired Dole plc’s Fresh Vegetables Division. The complex deal, which closed on August 5, 2025, created a scaled fresh-produce platform with leading positions across whole produce, packaged salads, and organic greens.

The transaction was structured in sequential, but simultaneous, steps: Arable Capital Partners acquired Braga Fresh and combined it with its portfolio company, organicgirl; the combined platform then acquired Dole’s Fresh Vegetables Division. Dykema represented Braga Fresh throughout the process, advising on corporate structuring, financing, tax, antitrust coordination, commercial arrangements, and closing execution across multiple workstreams.

Braga Fresh is a family-owned California grower-shipper that serves both conventional and organic markets, including the Josie’s Organics brand. Dole Fresh Vegetables Division is renowned for its wide selection of whole produce and salad kits, while organicgirl is a California-based producer of certified organic, pre-washed greens and dressings. Together, these companies represent a diverse range of offerings in the fresh produce market.
