Jin-Kyu Koh, Detroit-based member and leader of Dykema’s Corporate Finance practice, led a team of Dykema attorneys in helping Compuware finalize a $160 million deal in which this leading applications software company—headquartered in Detroit—arranged to sell three of its business units to Marlin Equity Partners, a global investment firm with significant investments in the technology sector.

In the deal, which industry observers termed “a major transformational milestone,” Compuware sold three of its business units—Changepoint, Professional Services and Uniface—to Marlin. The three units represent just under 25 percent of the company’s total revenue.

Bob Paul, President and Chief Executive Officer of Compuware, noted that the transaction “will accelerate the pace of the company’s topline revenue growth and result in future profitability gains.” Paul also observed that this move enables Compuware to “turn our full operational focus toward extending our APM (Application Performance Management) leadership position and strengthening our mainframe business.”

The team of Dykema lawyers led by Koh that assisted Compuware in bringing this deal to completion included representatives from a variety of Firm practice areas. In addition to Business Services lawyers—highly experienced in acquisitions and divestitures, and corporate finance—Koh assembled a group skilled in addressing the myriad issues—ranging from taxation, labor and employment, employee benefits, intellectual property and real estate—that are created in a transaction as large and complex as this one.
